Company Formation in Singapore

A resident director is not optional, audit exemption is not automatic, and the reputation you are buying is the reason the price is what it is.

Singapore is the most institutionally solid of the Asian options and the one that costs the most to run properly. It suits owners who need to be taken seriously by banks, investors and counterparties, and it suits nobody who is looking for a light-touch shell. The requirement that at least one director be ordinarily resident in Singapore is the structural fact that shapes everything else.

Tax: 17% is the headline, not the outcome

The corporate rate is 17%, applied to chargeable income after exemptions. A partial exemption reduces the effective burden on the first tranches of profit, and a separate start-up exemption is available to qualifying new companies for their first three years. For a genuinely small operating company the effective rate lands materially below the headline; for a large one it does not.

Foreign-sourced dividends, branch profits and service income can be exempt on remittance to Singapore where the statutory conditions are met — broadly that the income was subject to tax in the source jurisdiction, that the headline rate there was at least 15%, and that the exemption is beneficial to the recipient. It is a conditional exemption tied to real foreign tax, not a territorial free pass, and structuring around it requires the source-country position to be documented.

Audit exemption is by size, and it is not automatic

A company qualifies as a small company, and is exempt from audit, if it is private and meets at least two of three criteria across the relevant financial years: revenue not exceeding S$10 million, total assets not exceeding S$10 million, and not more than 50 employees. Group companies must also satisfy the criteria on a group basis. Fall outside them and audit becomes an annual cost line.

The resident director is a structural requirement, not a formality

Every Singapore company must have at least one director ordinarily resident in Singapore. Where the beneficial owner is not, this is filled either by a person who genuinely joins the board or by a nominee. A nominee solves a filing requirement; it does not solve substance, it does not move the place of effective management, and it does not protect against the company being treated as tax resident where it is actually run. Anyone selling a nominee director as a tax answer is selling you the wrong thing.

Reputation and reporting

Singapore is on neither annex of the EU list of non-cooperative jurisdictions, is not on the FATF list of jurisdictions under increased monitoring, and is not on the Spanish or Portuguese national lists. It does appear on Italy’s decree of 4 May 1999, which affects Italian citizens relocating rather than the company.

Under the Common Reporting Standard, the Inland Revenue Authority of Singapore listed 106 reportable jurisdictions for reporting year 2025, with Germany, France, Italy, Spain, the Netherlands and Cyprus appearing across every reporting year since 2017. Beneficial ownership is lodged centrally with ACRA and is available to law enforcement.

For EU nationals and EU-resident owners

Singapore is the option least likely to create a controlled foreign company problem, precisely because 17% is not a low rate. Under the Anti-Tax Avoidance Directive the low-tax test compares the tax actually paid with what your Member State would have charged, and 17% clears the German and Italian 15% effective-rate thresholds outright.

Member StateTestLikely position for a Singapore company
GermanyEffective rate below 15% (§ 8(5) AStG)17% headline generally clears it — but exemptions can push the effective rate below 15% for a small company
ItalyEffective rate below 15% (Article 167 TUIR)Same analysis, on the effective rather than headline rate
FranceForeign tax 40% or more below the French charge (Article 238 A CGI)Requires arithmetic against the French rate for the year
SpainForeign tax below 75% of the Spanish charge (Article 100 LIS)Comparison against the Spanish rate; the partial exemption matters

The nuance that catches people: partial and start-up exemptions can pull a small Singapore company’s effective rate well below 15%, and CFC tests look at effective rather than headline rates. A company enjoying start-up exemption in its first three years may fail the German or Italian test in exactly the years its owner assumed it was safe.

Relocation

Singapore does offer a route through the business, via EntrePass or an Employment Pass, which makes it one of only three of our six jurisdictions where relocation and incorporation can be part of the same plan. The exit-side rules of your own Member State still apply: Germany’s § 6 AStG exit tax on holdings of 1% or more, and § 2 AStG extended limited liability where the destination qualifies as low-tax; Italy’s Article 2(2-bis) TUIR presumption, since Singapore is on the 1999 decree list. Spain does not list Singapore, so its five-year rule does not apply.

Pillar Two, under Directive (EU) 2022/2523, applies only to groups with consolidated revenue of EUR 750 million or more. If that is not you, it is not your problem, whatever you have read.

For Indian residents

Singapore is the most heavily used offshore holding location for Indian business, and the framework around it is correspondingly well travelled — which cuts both ways. The India–Singapore treaty has been in force since 27 May 1994 and was amended by the capital gains protocol notified on 23 March 2017, which moved to source-based taxation of gains on shares with grandfathering for investments made before 1 April 2017.

Interest10% where the lender is a bank or similar institution including an insurer; 15% otherwise

Fees for technical services10%

Exchange control before tax

Form FC and a Unique Identification Number must be in place before the authorised dealer bank can remit a rupee. The Liberalised Remittance Scheme limit is USD 250,000 per financial year, and 20% tax is collected at source on remittances above ₹10 lakh in the year. An Annual Performance Report is due for the entity by 31 December.

Two bars that specifically bite in Singapore

First, a resident individual may not make overseas direct investment into a foreign entity engaged in financial services activity — which excludes the fund-management and advisory structures Singapore is best known for. Second, a resident individual may not hold control in a foreign entity that has a subsidiary or step-down subsidiary. A Singapore holding company sitting above operating subsidiaries is exactly the structure that provision is aimed at, and it is the reason many Indian promoters hold through an Indian entity rather than personally.

Round-tripping and GAAR

Rule 19(3) permits a foreign entity that invests back into India provided the structure has no more than two layers of subsidiaries; beyond that, prior Reserve Bank approval is required. How layers are counted is unsettled, so we structure conservatively. Separately, the general anti-avoidance rules in Chapter XI of the Income-tax Act, 2025 apply where the aggregate tax benefit in a tax year exceeds ₹3 crore, and the grandfathering in Rule 128 protects only income from the transfer of investments made before 1 April 2017 — not dividends or interest arising from them.

Treaty relief requires a tax residency certificate and the prescribed form, renumbered from Form 10F to Form 41 under the 2026 rules. Place of effective management under section 6(10) applies here as everywhere: a Singapore company run from India is Indian tax resident on its worldwide income, and a nominee resident director does not change that.

Setting up: what it takes

RequirementDetail
DirectorsAt least one ordinarily resident in Singapore; additional directors of any nationality
ShareholdersAt least one; 100% foreign ownership permitted; corporate shareholders allowed
Company secretaryRequired within six months of incorporation; must be resident in Singapore
Registered officePhysical Singapore address, accessible during business hours
Share capitalNo meaningful minimum; commonly S$1 at incorporation
Registrable controllersRegister lodged centrally with ACRA
Annual filingsAnnual return to ACRA, corporate income tax return to IRAS, estimated chargeable income

Our fee starts at $2,700. The resident director arrangement, company secretary, registered office, accounting, and audit where the small-company exemption does not apply are separate recurring costs. Singapore is not the place to optimise for the first-year price; it is the place to pay for credibility and get it.

Banking

Singapore banks run thorough onboarding and expect a coherent business narrative: what the company does, who pays it, where the counterparties sit, and why the account belongs here. They are more comfortable than most with genuine regional trade and less comfortable than most with structures that have no operational connection to the region.

The presence of a resident director helps procedurally but does not substitute for substance. We assess the outlook for your specific beneficial-owner profile before incorporation.

When Singapore is not the answer

It is a poor fit where the objective is a low headline rate — 17% is not low, and the exemptions that reduce it are conditional. It is a poor fit for an Indian resident whose plan is a personal holding company above operating subsidiaries, or anything in financial services, because the overseas investment rules bar both. It is a poor fit where the budget cannot carry a resident director, secretary and accounting on an ongoing basis.

It is a strong fit for regional operating businesses, for groups that need investor-grade credibility, for owners who want a residence route attached to the business, and for anyone whose counterparties or lenders will look at the jurisdiction before they look at the numbers.

Frequently asked questions

How much does it cost?
Our fee starts at $2,700. The mandatory resident director arrangement, company secretary, registered office, accounting and — where the small-company exemption does not apply — audit are separate annual costs. Singapore is the most expensive of the six to maintain and the most widely accepted.
What is the actual tax rate?
The headline rate is 17% on chargeable income. Partial exemption on the first tranches of profit, and a start-up exemption for qualifying new companies in their first three years, bring the effective rate below that for smaller companies. There is no capital gains tax and no withholding tax on dividends.
Is foreign income taxed in Singapore?
Foreign-sourced dividends, branch profits and service income can be exempt when remitted, provided the statutory conditions are met — broadly that the income was taxed in the source country, that the headline rate there was at least 15%, and that the exemption benefits the recipient. It is conditional, not automatic.
Do I really need a resident director?
Yes. At least one director must be ordinarily resident in Singapore. Where the owner is not, this is filled by a person joining the board or by a nominee. A nominee satisfies the filing requirement only; it does not create substance or change where the company is effectively managed.
Does my company need an audit?
Not if it qualifies as a small company: private, and meeting at least two of revenue up to S$10 million, assets up to S$10 million, and no more than 50 employees. Group companies must also meet the criteria on a group basis.
Can I get residence through the company?
Yes — EntrePass and Employment Pass are genuine routes, which makes Singapore one of only three of our six jurisdictions where relocation and incorporation belong in the same plan.
I am an EU citizen — is Singapore CFC-safe?
More often than the alternatives, because 17% clears the German and Italian 15% effective-rate thresholds. The trap is that CFC tests look at effective rates: a company enjoying start-up or partial exemption may fall below 15% in exactly the early years its owner assumed were safe. The arithmetic has to be run each year.
I am resident in India — can I set up a Singapore holding company?
Personally, usually not in the classic form. A resident individual may not hold control in a foreign entity that has subsidiaries, and may not invest into financial services activity at all. Holding through an Indian entity is a different analysis. Either way, Form FC and a UIN come before any remittance, and 20% tax is collected at source above ₹10 lakh.
What does the India–Singapore treaty give me?
Dividends at 10% where a company holds at least 25%, otherwise 15%; interest 10% or 15%; royalties and technical fees 10%. The 2017 protocol moved capital gains on shares to source-based taxation, with grandfathering for investments made before 1 April 2017. Relief requires a tax residency certificate and Form 41.
Is Singapore on any blacklist?
No — not on either EU annex, not on the FATF grey list, not on the Spanish or Portuguese lists. It is on Italy’s decree of 4 May 1999, which affects Italian citizens relocating there rather than the company itself.
Is ownership confidential?
No more than anywhere else. Registrable controllers are lodged centrally with ACRA and available to law enforcement, and Singapore treated 106 jurisdictions as reportable under the Common Reporting Standard for 2025, including every major EU Member State.
Can I incorporate remotely?
Incorporation generally yes. Bank onboarding may require attendance depending on the bank and the business model, and the resident director arrangement has to be settled before incorporation rather than after.

Compare with the other jurisdictions

Choosing between two or three options is normal at this stage. Each page below sets out the same ground — tax, audit, reporting, residence and the rules that apply where you are resident — so the comparison is like for like.

Or start from the full comparison of all six, which sets them side by side on tax, audit, residence and EU list status.

Is Singapore worth the price for you?

It usually is when credibility, regional trade or relocation are part of the objective — and usually is not when the goal is a low rate. Tell us which it is.
